The name of the organization is

COGGS, Inc or Cyclists of Gitchee Gumee Shores, Inc

Purpose:

We are a voluntary organization of bicycling enthusiasts’ from all walks of life and various regions surrounding Lake Superior. Our goal is to improve and maintain bicycling opportunities within our natural and urban habitats for generations to come.

 

BYLAWS

MEMBERSHIP

I. Membership Qualifications

Any person 18 years of age or older, who signs a membership application subscribing to the rules and purposes of the Club may become a member upon payment of dues. Any person underthe age of 18 who subscribes to the rules and purposes of the Club may become a member upon payment of dues as designated in the Bylaws and submission of a “Consent and Release for Minor” signed by a parent. It is recognized that bicycling under certain circumstances may be a dangerous sport with accidents resulting in personal injuries from time to time. By becoming members of the Club and participating in its activities all members and their guests accept whatever dangers are involved and release each other from any liability for personal injuries or property damage as a result of any acts of negligence by other members of the Club or their guests which may directly or indirectly be the cause of an accident.

No member of the Club shall profit monetarily from Club activities.

Membership duration shall be from April 1 to March 31.

II. Types of Membership

 

Regular: A person who has met the qualifications in Article I Section 1 and paid the regular membership dues.

Student: A person who has met the qualifications in Article I Section 1 and attends junior-high school, high school, university or technical school and pays the student membership dues.

Family: Persons who live at the same address, are related and who have met the qualifications in Article I Section 1 and paid the family membership dues.

Daily: A person who has met the qualifications in Article I Section 1 and paid the daily membership dues.

Corporate: Entitles mention in the newsletter and a website link.

 

III. Voting Privileges

Voting member: Regular, Student, Family (see Article I Section 1, 2, 3).

Non-voting member: Daily

All voting members shall be entitled to vote at General Membership Meetings.

Two members of a family holding a family membership shall be entitled to one vote each.

Only board members shall be allowed voting privileges at Board Meetings.

Chair of the Board shall not vote at General Membership meetings or Board meetings unless it is needed to break a tie.

 

IV. Meetings

The annual membership meeting and election of officers shall be determined by the Board of Directors, usually the second Tuesday of December but not later than 15 months after the last previous annual meeting.

Special membership meetings may be called at any time by the Board of Directors or a petition signed by more than 20% of the general membership and presented to the Chair.

The general membership must be notified at least one week before a General Membership meeting is to be held. The object of the meeting or agenda shall be stated in the notification.

A quorum for the General Membership Meetings shall be 25% of the paying membership.

Regular Board of Directors meetings shall be held monthly at a place and time determined by the Board of Directors.

A quorum for the Board of Directors Meetings shall be more then one half the Board.

Expenditures over $100 must be approved by the Board of Directors.

 

V. Board of Directors

The Board of Directors of the club shall consist of Chair, Secretary, Treasure, Promotions, Ride Coordinator, Newsletter Editor/Membership.

VI. Elections

Election of Club officers shall be held at the annual meeting. The election shall be by ballot from a slate chosen either by a nominating committee or from nominations in open meeting. A majority of the attending members shall elect in all cases.

Officers shall be seated the month following the election and shall hold office until their successors are elected and duly installed.

In the event of vacancy, the Board of Directors may appoint an interim officer to fill the position until such time as it is practical to elect an officer to permanently fill the vacancy.

At least four weeks preceding the annual meeting, the President shall appoint a Nominating Committee of three voting members to nominate the designated Club officers or at the preceding monthly Board meeting have open nominations andnotify the General Membership of such meeting at least two weeks prior.

 

VII. Duties of Officers

Chair: Shall coordinate and supervise total Club program; preside at Club and Board meetings.

Secretary: Shall take minutes at Club and Executive meetings; issue general notices and announcements. Shall assist the Chair in carrying out the Club responsibilities and shall serve in their absence.

Treasurer: Shall keep and prepare all Club financial records and transactions; make periodic reports to Club membership. It is suggested that the treasurer also serve as Chairman of the Budget Committee. The treasurer shall oversee ordering, purchase and sale of club clothing. The Treasurer shall also be responsible for financial transactions at all club races.

Promotions: Shall coordinate the promotion of the Club in a positive and effective manner.

Ride Coordinator: Shall coordinate Club rides, arrange for awards, prizes. Etc. Shall keep track of attendance at club rides. Shall be responsible for allowing only Club members on Club rides. Shall be responsible for, and in a prompt manor, turn all monies over to the Treasurer and membership applications to the Newsletter/Membership.

Newsletter Editor/Membership: Shall be responsible for creating a monthly newsletter, May through October. Shall be responsible for keeping current the club membership data base and providing lists and mailing labels to appropriate requests.

Race Director: Shall be responsible for all paper work to be completed in a timely and orderly fashion and obtaining resources pertaining to race. It is ultimately the responsibility of the race director to see the race is run in a satisfactory and financially responsible manner. Race director will be chosen by the Board of directors and is not a board member.

 

 

VIII. Fiscal Year

 

The fiscal year of the Club shall commence on the first day of the month of January and shall end on December 31 of the same year.

 

IX. Parliamentary Authority

The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the Club in all cases to which they are applicable and in which they are not inconsistent with these bylaws and any special rules of order the Club may adopt.

 

X. Amendments

The Bylaws may be amended at any regular meeting of the club by a majority off theattending voting members, provided that the proposed amendment shall have been circulated to the membership at least two weeks prior to the time of voting.

 

XI. Dissolution of Club

In the event the Club dissolves, all Club owned property shall be auctioned at an advertised silent auction and all proceeds and asset shall be donated to the International Mountain Bike Association (IMBA). No individual shall profit from the Club dissolution.

 

XII. Bylaw Review

The Bylaws will be reviewed by the Board of Directors at least once a year.
